Who are Ener-Vate?

Ener-Vate has established a reputation for being a trusted commercial advisor and partner to our clients within the decentralised energy / low carbon heating sector. We support our clients from the concept stages of feasibility, business case development, commercialisation, funding applications, procurement, project management and asset management of low carbon energy infrastructure delivered typically via an Energy Services Company.

Purpose of the role:

To discharge contract requirements as directed by the Head of Contracts:

- Production and negotiation support to the Network Development or Pre-Construction Teams as applicable and execution of Client specified customer contracts and contract articles

- Updating and governing standard contracts and contract schedules on behalf of the client, in line with industry standards and identified best practice across all contracts

- Support Head of Contracts as required with advice to clients on the commercial risks and opportunities within the contracts; potential mitigation and management strategies in close co-ordination with the designated Legal advisor

- Contract review where they are provided by third parties, to ensure in close co-ordination with the designated Legal advisor that Ener-Vate or our clients are not exposed to onerous terms, including but not limited to uncapped financial, or scope liabilities; unintended consequences; terms contrary to legislation in place or in known development, or non-commercial terms

- Delivery and ongoing management of contract compliance services as required under the EAMS, or other Ener-Vate services

- Provide project governance support to the Head of Contracts as required

- Provide cross-Ener-Vate support as required

 

Essential Skills Required

- Demonstrable experience in development and management of a range of relevant commercial contracts

- Critical eye for detail and risk management quantification and management experience

- Experience of effectively leading a virtual team and external resource, including liaison with technical and legal teams.

- Highly organised and able to manage multiple contracts, conflicting demands and deadlines through effective time management.

- Excellent presentation and report writing skills for a variety of client types and forums

 

Desired Skills Preferred

- Demonstrable experience in energy specific contracts, including but not limited to Master Concession Agreements, Connection Agreements, Heat Supply Agreements. Experience in Power Purchase Agreements, standard leases; easements and wayleaves would be preferred but not essential.

- Demonstrable experience in energy related public sector contract forms, governance, structures, insight and policy.

- Basic level technical competency in order to challenge and engage the wider team as appropriate, as technical assumptions as they impact the contract.

- Understanding of commercial modelling and understanding of impacts of risk management on the contract.

- Experience in both English and Scottish relevant contracts and key differences.


Duties of the role:

- Development of contract articles including, but not limited to:

     - Connection and Supply Agreements;

     - Master Concession Agreements

     - Thermal Purchase Agreements;

     - Framework Supply Agreements;

     - Residential, Commercial and Developer Supply Agreements;

     - Lease Agreements;

     - Access Agreements, including easements, servitudes, wayleaves or work licences;

     - Associated Heads of Terms as apply to the contract

- Negotiation support to the Ener-Vate team, or direct to clients

- Contract compliance services for EAMS contracts and other Ener-Vate services for operating assets, including strategic awareness.

- Close co-ordination with the Network Development; Commercial Delivery, Project Development and operational teams as appropriate to the client contract

- Liaison with Local Authorities planning and consenting representatives with regards access rights through public land


ESG Responsibilities

- To support Peel L&P in responding effectively to the risks and opportunities presented by climate change and meeting our internal ESG Concrete Goal:

- Report progress on sustainability and ESG at Board meetings

- Demonstrate a positive contribution towards Peel L&P’s 7 ESG Indicators

- Apply the Development Director Toolkit to all projects

- Work closely with the Sustainability Team to ensure the following studies are undertaken for projects at the earliest opportunity:

     - biodiversity net gain assessment

     - natural capital net gain assessment

     - carbon appraisals

     - Social Value Framework 

- Embed sustainability and ESG considerations into processes and projects, and highlight innovative ways of doing so

- Be carbon literate and have the necessary skills to embed sustainability considerations into your role


Health & Safety Requirements

- Completion of all mandatory compliance training

- Completion of risk assessments as required

 

Salary - £45,000 - £50,000 depending on experience.
Home based with occasional travel to our offices in Manchester and Stoke on Trent.
